1. Acceptance of Terms

Welcome to Kunming Liluo Kenan Information Technology Co., Ltd. ("LK Tech," "Company," "we," "us," or "our"). By accessing or using our website at www.liluokenan.shop (the "Site") or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not access the Site or use our services.

2. Definitions

"Services" refers to all computer systems design, integration, consulting, and related technical services provided by LK Tech. "Service Agreement" is a separate written agreement detailing specific scope and terms for an engagement. "Confidential Information" means non-public information disclosed between parties. "Intellectual Property" includes patents, copyrights, trademarks, trade secrets, and proprietary methodologies.

3. Services and Engagement

3.1 Services are provided as described on our Site and in individual Service Agreements.

3.2 Each engagement will be governed by a separate Service Agreement that becomes part of these Terms. In the event of conflict, the Service Agreement shall prevail.

3.3 We reserve the right to modify or discontinue any aspect of our Services, provided such changes do not materially affect existing Service Agreements without mutual consent.

4. Client Obligations

You agree to provide accurate information, cooperate in good faith, maintain confidentiality of account credentials, and not use our Site or Services for unlawful purposes.

5. Intellectual Property Rights

Each party retains rights to its pre-existing IP. Upon full payment, we grant you a non-exclusive, perpetual license to use deliverables created for you. We retain rights to our proprietary tools and methodologies. Feedback provided by you may be used by us without obligation.

6. Fees and Payment

Fees are as set forth in the Service Agreement. Invoices are due within specified payment terms. Overdue amounts may incur interest at 1.5% per month. All fees exclude applicable taxes.

7. Confidentiality

Both parties agree to hold Confidential Information in strict confidence. Confidentiality obligations survive termination for five years, or indefinitely for trade secrets.

8. Warranties and Disclaimers

We warrant our Services will be performed professionally. EXCEPT AS EXPRESSLY STATED, SERVICES AND SITE ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LK TECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify LK Tech against claims arising from your breach of these Terms, violation of law, or gross negligence.

11. Termination

Either party may terminate a Service Agreement according to its terms. We may terminate these Terms for material breach not cured within 30 days of notice.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the People's Republic of China. Disputes shall first be attempted through negotiation, then submitted to binding arbitration in Kunming, Yunnan, under CIETAC rules.

13. Website Use Terms

All content on our Site is our property and protected by intellectual property laws. You may not reproduce or distribute our content without prior written consent.

14. Force Majeure

Neither party is liable for failure or delay due to causes beyond reasonable control, including natural disasters, war, terrorism, government actions, pandemic, or internet disruptions.

15. Entire Agreement

These Terms together with any Service Agreement constitute the entire agreement between the parties.

16. Changes to Terms

We reserve the right to modify these Terms. Changes are effective upon posting. Continued use after changes constitutes acceptance.
